In my copy, there are 22 files plus an additional 2 subfolders (failsafe files + moto drivers), total size 2.77 gb. Yours should be similar. The .bat file should be in the DroidRazrUtility folder along with all the other files. It needs to run from that folder or it won't find ADB. Yes, the .bat file is in the same proper folder. I'll have to look at my history to find the checksum...
Are you running the utility (ie the. BAT file) from the same folder as the adb.exe file? The two reasons for those errors are no ADB set up, or in a folder the program can't find. The .BAT file has to run in same folder as the adb.exe file. There's a third possibility, too. You could have an incomplete zip file - check MD5 against the download site/OP - terminal command for MD5 checksum is MD5 [path]/[filename].

Yes, same folder... Based on the post above, maybe it was a bad download? Looks like I'll be taking another 1.x GB hit to by internet data to try to download it somewhere else..
UPDATE: I tried manually going to the command line, navigating to the folder and running the batch file again, now the error isn't displaying any more..
