Think the only reason you'd need to fastboot, is if you've taken an OTA that's messed anything up or if you just want to.
I've jumped from JellyBean roms back to BW ICS for now, no problem, all I did was wipe caches and data and flash.
Been a crazy week for my Razr!

I know OP says I have to be on ICS, so I just want to confirm that if I am on CM10 and system shows 4.1.1 - I need to use Matt's util and do a fastboot restore of .211? Or can I just format system and install new rom? -forgetful-
Just follow the steps outlined in the OP to install this or any ICS ROM. Even though you have CM10, it's only a JB-based ROM on ICS kernel.

I could....I will say some of that included no use for 3-4 hours. And I haven't had issues with this script, but your phone may. I run it using Rom toolbox pro in the scripter that it has. I wouldn't set it to run on boot until you know for sure there are no issue. I also use CPU sleeper.
echo 0 300 960> /proc/cpu_control/tweak_cpu
echo 1 600 990 > /proc/cpu_control/tweak_cpu
echo 2 800 1010 > /proc/cpu_control/tweak_cpu
echo 3 1000 1070 > /proc/cpu_control/tweak_cpu
echo 4 1300 1280> /proc/cpu_control/tweak_cpu
I turn 4g on if needed

If I am on Simplex 1.2, Can I just wipe cache and flash? Or do I need to do a full wipe?
Per OP: Just slap on new rom
Installation:
To install this ROM you must be on ICS with Safestrap installed! Safestrap is the only tested method! I always recommend doing a full wipe! For those on an older version of Simplex simply flashing the update may be ok without data wipe... The updater script will take care of wiping cache for you.
